Oslo Børs Holding ASA and VPS Holding ASA merge
The boards of directors of Oslo Børs Holding ASA and VPS Holding ASA have today resolved to merge the two holding companies. Oslo Børs VPS Holding ASA is therefore expected to be a reality from 27 November 2007.
The companies received the Ministry of Finance's approval for the merger on 8 November. The approval was granted subject to certain conditions. The boards of directors of Oslo Børs Holding and VPS Holding are of the view that these conditions will not have any material adverse impact on the merged company, and have therefore resolved to merge the holding companies as the first step in the merger of Oslo Børs and VPS.
The further structuring of the group will take place once the conditions imposed by the Ministry of Finance have been satisfied and approved. This process is well underway, but will take a little longer to complete. This means that following the merger of the holding companies, Oslo Børs and VPS will have a new joint owner: Oslo Børs VPS Holding ASA.
It is expected that the merger will be registered with the Register of Business Enterprises, and thereby come into force, on Monday 26 November. The last trading day for shares in VPS Holding ASA will accordingly be Monday 26 November. Further information in this respect will be published on Monday 26 November.
